Simpson Thacher represented Groupe Fnac SA, a leading French electronics retailer, in connection with its recommended offer to acquire the entire issued and to be issued share capital of Darty plc which was announced on 20 November 2015. Under the terms of the offer, Darty shareholders would be entitled to receive one Fnac share for every 37 shares they held in Darty. Fnac's offer also included a partial cash alternative equal to an aggregate maximum amount of approximately GBP66 million pursuant to which eligible Darty shareholders would have the opportunity to elect to receive cash in lieu of part or all of the new Fnac shares which they would otherwise have been entitled to receive.
